1. Acceptance of Terms

LogoForge ("we", "us", or "our") provides AI-powered logo design services accessible at https://logoforge.com (the "Service"). By creating an account, subscribing to any plan, or otherwise using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Important: If you do not agree to these Terms, please stop using the Service. Continued use after any update constitutes acceptance of the revised Terms.

2. Description of Service

LogoForge provides an AI-powered logo design platform that generates logos, color palettes, font recommendations, and brand guides for commercial use. This is a digital software-as-a-service (SaaS) product.

2.1 Service Nature: The Service is a digital intangible product. Service access is granted immediately upon payment confirmation. Due to the immediate delivery nature of digital services, refunds are subject to specific limitations as outlined in Section 7.

2.2 AI Model Disclosure: The Service uses third-party AI model providers including MiniMax (MiniMax-M2.7 for language processing and prompt generation, Image-01 for logo image generation). The performance and availability of the Service may be affected by these providers' operational status.

3. Account Registration

To use LogoForge, you must:

  • Provide accurate and complete registration information
  • Be at least 18 years old
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Ensure your billing email address remains valid

Enterprise Accounts: If registering on behalf of a company or organization, you declare that you are authorized to enter into this agreement on behalf of that entity.

4. Plans and Credit Packs

We offer credit-based plans to access the Service. Current plans and pricing are available at /pricing.

4.1 Credit System: Each plan provides a monthly allocation of logo generation credits. Unused credits expire at the end of each billing period (monthly or annual depending on your plan). Credits do not roll over to the next period.

4.2 Credit Validity: Purchased credits are valid for 30 days from the date of purchase. Annual plans provide 12 months of credit access with annual billing.

We reserve the right to modify plan features or introduce new plans at any time. Price changes will be communicated in advance.

5. Billing and Payment

5.1 Payment Method: When you purchase a plan, you authorize a one-time or recurring charge to your payment method for the corresponding plan fee. Payments are processed securely by Waffo Pancake, our Merchant of Record and payment processor.

5.2 Billing Cycle: Monthly plans are billed on the same day each month. Annual plans are billed once per year on your original purchase date.

5.3 Taxes: Unless otherwise stated, prices do not include applicable taxes (including VAT, GST, sales tax, etc.). If required by law, we will collect and remit these taxes on your behalf.

6. Cancellation and Account Management

6.1 How to Cancel: You may cancel your account or downgrade your plan at any time through:

  • Online (Recommended): Account Settings → Subscription → Cancel Subscription
  • Email: Send a cancellation request from your registered email to support@logoforge.com

6.2 Effect of Cancellation/Downgrade:

  • Your plan remains active until the end of your current billing period
  • You will not be charged for subsequent periods after cancellation
  • Any remaining credits stay available until the end of the billing period
  • Account data will be retained for 90 days after account closure, then deleted per our Privacy Policy

7. Refund Policy

7.1 General Policy: Due to the immediate delivery nature of our digital service, all payments for AI logo generation credit packs are non-refundable, except in the following circumstances:

  • Duplicate Charges: Full refund for duplicate charges due to billing errors
  • Verified Service Interruption: Credit or extension for extended service interruptions (over 72 hours) caused by us
  • Legal Rights: Statutory withdrawal or refund rights (such as EU/UK 14-day cooling-off period) are preserved

7.2 How to Request a Refund: Send an email to support@logoforge.com with your account email, transaction ID, and reason for the refund request. We will confirm within 2 business days and process eligible refunds within 5-10 business days.

7.3 Non-Refundable Items:

  • Used credits (whether partially or fully consumed)
  • Refund requests after 30 days from purchase
  • Accounts closed due to violation of these Terms or Acceptable Use Policy

8. Billing Disputes

If you believe there is a billing error, please contact us at support@logoforge.com before contacting your bank. We commit to responding within 2 business days and resolving confirmed billing errors within 5 business days.

9. AI Content and Intellectual Property

9.1 Output Content Ownership: Subject to these Terms, AI content generated through your input ("Output Content") belongs to you. You may use Output Content for any lawful purpose permitted under Section 10.

9.2 Input Content License: By submitting content to the Service ("Input Content"), you grant LogoForge a limited, non-exclusive license solely for the purpose of providing the Service to you. We will not use your Input Content for AI model training without your explicit consent.

9.3 Third-Party AI Model Reliance: The Service uses third-party AI model providers including MiniMax. Output content may be influenced by these providers' models. We do not guarantee specific output quality and are not responsible for content generated by third-party models.

9.4 AI Output Accuracy: AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying Output Content before relying on it.

10. Acceptable Use Policy

10.1 Permitted Uses: You may only use the Service for lawful purposes consistent with these Terms.

10.2 Prohibited Uses: You agree not to use the Service to:

  • Generate illegal, defamatory, harassing, or fraudulent content
  • Generate, disseminate, or assist in creating deepfake content, including AI-synthesized audio, video, or images impersonating real individuals or intended to mislead viewers about their source or authenticity
  • Generate content involving the sexualization of minors or violating child protection laws
  • Create malware, phishing content, or cyberattack tools
  • Infringe on any third party's intellectual property or privacy rights
  • Bypass or interfere with the Service's security features
  • Resell or sublicense access rights without prior written approval
  • Violate any applicable laws, regulations, or card network rules

10.3 AI-Specific Prohibitions: In addition to the above general prohibitions, given the AI nature of the Service, you explicitly agree not to:

  • Use the Service's input, output, model responses, or any derivative data to train, fine-tune, benchmark, perform knowledge distillation, or otherwise develop any AI or machine learning model that directly or indirectly competes with the Service or LogoForge products
  • Large-scale systematic scraping, extraction, or collection of model outputs for any purpose other than your personal authorized use
  • In contexts where it could cause harm, present AI-generated content as the work of human professionals (such as licensed doctors, lawyers, or financial advisors)

11. Data, Privacy, and Security

Your use of the Service is governed by our Privacy Policy, available at /privacy. Payment card data is exclusively processed by our PCI-DSS-compliant payment processor (Waffo Pancake) and is not stored on our servers. Account data is retained for 90 days after cancellation, then deleted.

12. Disclaimer and Limitation of Liability

12.1 Disclaimer: The Service is provided "as is" and "as available" without any express or implied warranties, including merchantability, fitness for a particular purpose, or AI output accuracy.

12.2 AI Generated Content Disclaimer: ⚠️ AI-generated content may be inaccurate, incomplete, or outdated. Do not use it for legal, medical, financial, or other professional advice. Always verify with qualified professionals before taking action based on AI content.

12.3 Limitation of Liability: To the maximum extent permitted by applicable law, LogoForge is not liable for any indirect, incidental, consequential, or punitive damages. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

13. Term and Termination

These Terms remain effective during your use of the Service. We may suspend or terminate your account if you materially breach these Terms, engage in suspected fraud, or if required by law. If we terminate for reasons not caused by your breach, we will prorate refund any prepaid unused portion. You may delete your account at any time by contacting support@logoforge.com.

14. Governing Law and Dispute Resolution

These Terms are governed by applicable law. Before initiating formal proceedings, please contact support@logoforge.com to attempt informal resolution.

15. General Provisions

We may update these Terms at any time. Material changes will be communicated at least 14 days in advance via email. Continued use constitutes acceptance of the revised Terms. If any provision is found invalid, the remaining provisions remain fully effective.
